My confidential client is an exceptional real estate developer that is looking for an attorney to join its team to assist in the Compliance division as a Compliance Officer. This role is ideal for an attorney with securities experience that is looking for an excellent in-house role. The responsibilities are as follows: Management/Administration 1. Assist Executive Director with management and oversight of internal reporting (including, capital raising spreadsheet management, ensuring equities teams are uploading info to Navatar, PPM spreadsheet, deal pipeline report, conference and seminar budgeting and tracking). 2. Coordinate equities calls with sector groups and weekly equities team meetings. 3. Coordinate and manage equities team training sessions with sector groups for all new offerings. 4. Assist Executive Director with tracking and approval of commissions in accordance with employment agreements, and obtaining executive management/Board approval. 5. Manage marketing items relating to equities platform and offerings (teasers, marketing brochures, etc.). Includes coordinating with marketing department and legal department. 6. Manage investor reporting (quarterly reports, K-1s, etc.). Includes coordinating with accounting and legal departments. 7. Assist Executive Director with investor questions and follow-up, including investor complaint log (in coordination with legal if required for compliance (i.e., all emails or communications to more than 25 people, must be approved through legal compliance department)), and following up on investor information requirements/requests. 8. Assist Executive Director with spreadsheets or other items relating to investor's investments and returns, etc. Includes coordinating with accounting department. Compliance Reporting 1. Assist Executive Director with respect to PPM management and oversight per the approved work flow structure. a. Coordinate with financial analyst, sector president, legal and accounting teams in the preparation and submission of PPM term sheets. b. Oversight of PPM review and approval process. c. Coordinate with legal department and outside counsel in the preparation of PPM summaries for approval, organizational charts and organizational documents. d. Manage investor subscriptions and documentation and deposits and reporting of funds. 2. Assist Executive Director, legal department and outside counsel in managing overall securities compliance, including marketing, investor reporting, legal documentation and record keeping, equity placement agreements, referral agreements and other agreements with third party capital raisers or referral agents, compliance with the Policies Procedures manual for the Company and its subsidiaries/affiliates, and all broker-dealer interrelations and communications. 3. Assist Executive Director with respect to the management of Encore affiliated funds' approval processes, documentation and legal record keeping. 4. Coordinate with financial analyst in creating and managing due diligence portal for offerings. 5. Management and oversight of all crowdfunding sites, including CrowdStreet, and their integration with WealthForge. 6. Coordinate with Encore's legal department and outside counsel with respect to general securities compliance and reporting.
