Major International Corporation in Lake Forest is seeking a Senior Corporate Paralegal with International Experience!! Corporate Paralegal will be responsible for all Corporate Secretarial matters for this International Corporation. Job responsibilities include the following: managing all global entities located in countries worldwide; maintaining corporate organizational chart of all entities; manage Board of Directors Matters, including preparing for Board and Committee meetings; Company Compliance, including supporting the preparation of proxy statements and other key SEC filings; General Corporate Governance, including global governance matters and key governance programs, such as insider trading and related party transactions; Assist the Deputy General Counsel and other senior members of management to plan, prepare, distribute and coordinate materials for the Board of Directors and Committee meetings; Be responsible for administering the online distribution of Board and Committee meeting materials; Coordinate with administrative staff to prepare and coordinate Board and Committee meetings; Prepare and distribute annual directors' questionnaires; Assist the Deputy General Counsel to prepare, draft and file SVB's annual proxy statement; Provide support with general public company compliance and corporate securities regulation and compliance, including preparing, drafting and/or contributing to Forms 10-Q, 10-K and 8-K and other key reports filed with the SEC and NASDAQ; Provide legal support for capital raising transactions, including due diligence for equity and debt offerings, on an as needed basis; Assist with management of key governance programs, including-Global subsidiary governance-Insider trading-Related party transactions-Foreign Corrupt Practices Act; Provide paralegal support for the department and other attorneys, as needed, including preparing department reports and legal billing matters. Requirements: Minimum of 5+ years of relevant experience as a Corporate Paralegal and a Bachelor's degree; MUST HAVE EXPERIENCE WORKING WITH INTERNATIONAL ENTITIES.
