Description
A rapidly growing aerospace + defense company is looking to add a corporate paralegal to their team. This role is contract to hire!
The ideal paralegal will have at least 2 years of experience supporting legal processes and have top-notch organizational skills.
Responsibilities Include:
Standing up entities/corporations
Supporting M& A department
Supporting companies in the deal process, acquiring a company or selling a company
Preparing closing documents
Advise on document flow
Generate agreements from templates
Paralegals with the above experience are highly encouraged to apply.

Requirements
(1) Competent in corporate entity formation and corporate governance (i.e., registering a corporate entity, filing a follow-up statement of Information; filing necessary documents with the franchise board; State filings: CA, Delaware, some Arizona) [*note training will be provided on this];
(2) Preparing operating agreements, corporate bylaws; corporate minutes; making amendments; dissolving entities (*templates will be provided); and
(3) Proficient in reviewing and drafting letters of intent, purchase agreements, sale agreements, purchase sale agreements (PSA’s), and M& A.
