Robert Half Corporate Transactional Attorney in Baltimore, Maryland

Description We are offering an exciting opportunity for an Attorney/Lawyer in the heart of BALTIMORE, Maryland, United States. This role majorly involves handling sophisticated business transactions, including Mergers & Acquisitions (M& A) and issues related to tax-exempt entities. As part of your role, you will be working independently and also collaboratively with other internal and external counsel.

Responsibilities:

• Handle Mergers & Acquisitions (M& A) transactions with precision and efficiency.

• Work on structuring transactions and reviewing, drafting, and negotiating entity formation documents.

• Handle Operating Agreements and Partnership Agreements in a collaborative environment.

• Work on Joint Ventures and other complex business transactions.

• Maintain strong attention to detail in managing multiple matters.

• Exhibit excellent drafting and organizational skills in daily operations.

• Negotiate effectively and forcefully on behalf of our clients while maintaining congenial relationships with opposing counsel, colleagues, and clients.

• Manage and organize entity structure and organization.

• Handle issues regarding tax-exempt entities with utmost care and professionalism. Requirements • Possession of a Juris Doctor (J.D.) degree from an accredited law school

• Must be a licensed attorney and in good standing with the State Bar

• A minimum of 7 years of legal experience in a law firm or corporate setting

• Demonstrated expertise in Mergers & Acquisitions (M& A)

• Proficient in Entity Formation and Operating Agreements

• Experience in drafting and negotiating Joint Ventures and Partnership Agreements

• Excellent verbal and written communication skills

• Ability to manage multiple projects and deadlines concurrently

• Strong analytical and problem-solving abilities

• High degree of professional ethics, integrity, and gravitas

• Proficient in legal research and documentation

• Must be able to work independently and within team settings

• Excellent negotiation and conflict resolution skills

• Strong attention to detail and organizational skills

• Demonstrated ability to maintain confidentiality and handle sensitive information

• Proficient in Microsoft Office Suite and legal software applications.
