Robert Half International Corporate Counsel in CHICAGO, Illinois


Robert Half Legal is immediately seeking a Corporate Counsel for one of our dynamic clients in the Chicago Loop. The Corporate Counsel should have 3-5+ years of experience, a JD Degree, and be willing to work both in office and from home.

Responsibilities include the following:

-Provide legal advice in the areas of securities - focusing on SEC reporting and disclosure requirements

-Prepare SEC (e.g., 10-K, 10-Q, 8-K) and securities-related filings

-Manage Section 16 compliance related to director and officer ownership of securities, including preparation of Forms 3, 4, 5, Forms 144 and Rule 10b5-1 Plans

-Draft and negotiate contracts with customers, suppliers, distributors and various other vendors

-Assist in managing trademark and domain name portfolio

-Transaction experience related to M& A and conducting internal due diligence

-Ability to manage and complete large projects

-Supporting the Legal Department in all of its legal needs

Requirements - Good judgment: Exercise sound, independent judgment and discretion with minimal supervision.

  • Critical Thinking: Identify and evaluate legal issues and develop solutions independently and communicate recommendations effectively.

  • Collaboration: Understand and operate in a complex environment and collaborate effectively with cross functional teams, including Finance, Human Resources, and the Commercial team. Must be a team player with a positive attitude.

  • Organization: Maintain strong organizational and project management skills and significant attention to detail while managing multiple projects in a fast-paced environment.

  • Professional Communication: Communicate directly with corporate officers and directors, demonstrating a high level of confidentiality and discretion.
