Description
Robert Half Legal is partnering with private equity, asset management company that's looking to hire a Corporate Paralegal with 3-5+ years of experience to join their in-house legal team. This Corporate Paralegal will assist the in-house legal department within the asset management group by handling a variety of legal projects and working on all aspects of transactional work pertaining to commercial activities. Salary for this position is between $100-125K plus bonus and phenomenal benefits. This position will be working on a hybrid WFH schedule with half the week in-office.
Corporate Paralegal Responsibilities:
Form US and foreign entities and draft organizational documents and resolutions.
Assist with fund closings, including maintaining closing checklists, organizing closing documents and preparing side letter compendiums.
Prepare monthly logs of new and dissolved companies. Maintain Legal database and promptly respond to requests for legal documentation, charts and signatories.
Assist with periodic regulatory filings.
Coordinate and respond to KYC (know your client) requests.
Assist the investor relations team with investor related requests.
Provide transactional support to deal team (assist with due diligence, draft transfer documents, etc.)
Assist with maintenance of company policies
Serve as a liaison between different in-house departments, outside counsel and various regulatory agencies.
Coordinate and obtain appropriate signatures on various legal and deal documents.
Serve as a secretary for corporate meetings. Draft corporate minutes
Assist in franchise SOS tax filings.
Coordinate review of confidentiality agreements

Requirements
Bachelor Degree required
3-5+ years of paralegal experience handling corporate/transactional law
Proficiency in Microsoft Office applications
Working knowledge of laws, rules, and regulations relating to some financial services, wealth management, data privacy, and/or private equity is a plus
