ESSENTIAL DUTIES AND RESPONSIBILITIES

• The primary responsibilities of the Paralegal and Legal Department Coordinator will include the following, as assigned from time to time:

• Support the Board of Directors of the Corporation

• Manage meetings, travel, and other matters for the Board.

• Manage mailings, prepare materials for upload, including:

o Preparing director compensation benchmarking materials

o Preparing Section 16 reporting person benchmarking materials

o Preparing director orientation materials

o Preparing board materials, such as director attendance sheets and other item

• Assists the General Counsel with the proxy statement, including

o Calculating beneficial ownership table

o Calculating director compensation

• Helps prepare the exhibit index for the Form 10-K.

• Assists the General Counsel with administrative matters, including travel, expense reimbursement, and other special projects.

• Provide support to the operation of the legal department including tracking expenses and managing costs.

• All other duties as assigned.

Qualifications

To perform this job successfully, an individual must be able to perform each essential duty satisfactorily. The requirements listed below are representative of the knowledge, skill, and/or ability required.

EDUCATION and/or EXPERIENCE

• Bachelor of Arts degree (B.A.) or Bachelor of Science degree (B.S.) from a four-year college or university; or eight years related experience and/or training; or equivalent combination of education and experience.

• Paralegal certificate.
