Description

We are offering an opportunity for an Associate General Counsel to join our team in Culver City, California. As an integral part of our legal team, you will be involved in various legal duties including commercial contracts, dispute resolution, intellectual property management, regulatory/legal compliance matters, and labor and employment. This role offers a contract to hire employment opportunity in the legal industry.

Responsibilities:

  • Barred in CA or registered In-House Counsel

  • 12+ years litigation experience followed by in-house experience are ideal

• Develop, maintain and implement company’s overall legal strategies, plans, and procedures.

• Provide advice and guidance for the accomplishment of the overall business objectives of the company in compliance with applicable laws and regulations.

• Lead and create strategies for complex dispute resolution to protect the Company’s interests and mitigate future risk.

• Draft, review, analyze, structure and negotiate various commercial or transactional agreements.

• Work with identified personnel to analyze, refine and implement strategy for protection of the company’s current and future intellectual property assets.

• Review and assist with the negotiation of leases or other real estate related matters.

• Collaborate with other executives on all issues relating to employment and benefits.

• Advise business unit personnel with respect to compliance policies, customer and vendor relations, and product marketing, advertising and pricing issues.

• Ensure all company activities are conducted in compliance with internal policies and procedures.

• Negotiate major insurance agreements including Property, Medical, Product and General liability, Workers Comp.

Requirements

• Must have a minimum of 10 years of experience in a legal setting, preferably as a General Counsel or a similar position.

• Proven expertise in Litigation Attorney work.

• Proficient in Business & Commercial Law.

• Experience in drafting and reviewing Commercial Contracts.

• Comprehensive knowledge and understanding of Commercial Law and Commercial Litigation.

• Ability to manage Complex Business Litigation and Complex Litigation.

• Proficiency in Intellectual Property law, including aspects like Copyright, Licensing, Litigation, Trademark, and Patent.

• Experience in California Labor Law and general Labor Law.

• Knowledge in Employment Law, both for employees and employers.

• Familiarity with Employment Litigation.

• Understanding of Compliance and Interest Rate Risk Management.

• Proficiency in Contract Negotiation, including the ability to negotiate contracts and terms.

• Proven negotiation skills.

• Experience in drafting contracts, agreements, legal documents, motions, and pleadings.

• Must have a valid license to practice law.

• Excellent communication skills, both written and verbal.

• Strong analytical and problem-solving abilities.

• Ability to work under pressure and meet deadlines.

• Must possess strong ethical and professional standards.
