Robert Half Corporate Paralegal in Deerfield, Illinois
Description
Robert Half Legal is partnering with an industry leading corporation located in the north suburbs that's seeking a Corporate Paralegal with 5+ years of experience to join their team. This Corporate Paralegal will assist in-house lawyers by working on all aspects of corporate governance, corporate maintenance, entity management, SEC filings, and more. This position will work in a hybrid WFH capacity (2 days WFH/week). The salary on this position is between $90-110K plus a 10% bonus target.
Corporate Paralegal Responsibilities:
Prepare and file documents for corporate, limited liability company and partnership formations, amendments, conversions, reinstatements, mergers, qualifications, dissolutions and withdrawals;
Prepare and file Form SS-4s to obtain EINs
Prepare basic organization documents, including initial stock subscription agreements, stock certificates and stock ledgers
Prepare organizational, annual, and special consents, by-laws, stock issuance and company record books
Prepare and maintain minute books and consents for limited liability companies, partnerships and limited partnerships
Prepare and file annual/biennial reports in various jurisdictions
Manage and support all board of directors responsibilities including preparation of meetings, compliance, and other filings
Assist with preparing and filing of SEC Form 4s and more

Requirements
Bachelor Degree needed; paralegal certificate preferred
5+ years of corporate paralegal experience
Experience with corporate governance, corporate maintenance and entity management required
Experience with SEC filings (Form 4s, etc.) preferred
