Corporate & Litigation Counsel

Our client, a leader in the construction and real estate industry is looking for a Corporate/Litigation Counsel to support their corporate legal department and real estate business. The Corporate Counsel will have 8 plus years of experience handling corporate and employment matters, oversight of litigation, and risk management. Responsibilities include;

• Assist in preparation and organization of corporate minute books

• Oversee preparation of minutes and resolutions for corporate subsidiaries

• Oversee compliance of Corporation and subsidiaries with state corporate requirements

• Provide assistance to the Corporate Secretary

• Review contracts and agreements

• Perform legal research as necessary

• Provide advice on and opinion letters for transactions

Assist in preparation and updating of corporate policies

• Provide advice on employment matters

• Assist in responding to employment proceedings, depending on experience

• Assist in conducting investigations, depending on experience

• Review employment documents

• Prepare separation agreements

• Responsible for oversight of litigation such as:

• Oversight of construction defect, employment, contract, and other claims

• Coordination with the Risk Management department regarding insurance claims

We are looking for licensed corporate/litigation attorneys with 8 plus years of corporate/litigation experience at a corporate in-house position or law firm. Qualified candidates should be licensed in a US Jurisdiction. This position is located in the Denver. Requirements • Must possess a minimum of 10 years of experience as an Attorney/Lawyer, preferably in the construction/contractor industry

• Proficient in using Adobe Acrobat and Case Management Software

• Demonstrated experience in Document Management

• Skilled in Civil Litigation and Claim Administration

• Proven track record in Complaint Handling

• Must be a Licensed Attorney

• Expertise in Counselling and Counseling Employees

• Knowledgeable in Employment Law, including Employer and Employee related laws

• Familiarity with Applicable Employment Law

• Experience in Corporate & Commercial law, Corporate Blue Sky, Corporate Compliance, Corporate Entities, and Corporate Governance

• Proficiency in Corporate Legal, Corporate Law, Corporate Maintenance, and handling Corporate Matters

• Experience in maintaining Corporate Minute Books

• Knowledgeable in Corporate Real Estate, Corporate Risk, and Corporate Secretarial Function

• Experience in handling Corporate Services and Corporate Minutes Book

• Proficient in Employment Discrimination matters

• Able to provide Counsels on a variety of legal matters.
