Robert Half Paralegal in Los Angeles, California

Description We are looking for a Senior Paralegal to join our team in Los Angeles, California. This role involves supporting various corporate and financial transactions, both domestically and internationally, and requires a comprehensive understanding of corporate law, real estate, and other related fields.

Responsibilities:

• Assist with all aspects of corporate and financial transactions including mergers and acquisitions, corporate formation, and venture financing.

• Prepare and review various legal documents such as investment agreements, credit agreements, security agreements, fund agreements, and acquisition agreements.

• Handle the issuance of stock certificates and other security documents.

• Prepare Capitalization Tables and other financial reports related to investment documentation.

• Conduct filings with the SEC as required.

• Manage the assembly of closing documents and upload them to file sharing sites for client access.

• Handle the filing of UCC Financing Statements, removals, amendments, and searches in various jurisdictions.

• Prepare organizational charts for multi-level corporate structures.

• Assist with corporation formations and dissolutions.

• Assist with real estate transactions, including the review of title reports, underlying title documents, and surveys.

• Prepare and review Purchase and Sale Contracts related to real property.

• Handle major real estate transaction closings, including 1031 exchange transactions.

• Prepare loan documents and Employment Agreements.

• Must demonstrate expertise in Real Estate - Leasing and Purchase Agreements.

• Should have a solid understanding of Commercial Real Estate.

• Proven experience in conducting Due Diligence is a necessity.

• Must have a background in working with ParaLegals.

• The ability to handle the complexities of Commercial Real Estate Investment is a must.

• Demonstrated proficiency in working with Purchase Agreements is required.

• Experience in Real Estate - Title and Commercial Leasing is expected.
