The main responsibilities of the Contracts Administrator and Contracts Manager positions will include but are not limited to the following: • Review, analyze, revise, modify, and negotiate NDAs, purchase orders, sub-contracts with suppliers/vendors, SaaS agreements, technology and/or consulting agreements and miscellaneous contracts for commercial business units; • Reviews contract requirements, special provisions, terms, conditions and pricing to ensure compliance with corporate policies and business procedures; • Acts as the focal point of contact as needed for contractual matters and is a liaison with customers, internal departments and outside counsel for all contractual matters; • Recommends solutions or alternate proposals to minimize risk and promote efficiency. • Identify and escalate non-standard, complex matters to appropriate internal resources. • Review incoming internal requests for proposals, proposal requirements, terms and conditions for acceptability and compliance with company policies and procedures.

Requirements

Advanced Duties and Preferred Experience for Contracts Manager role: • Review incoming internal requests for proposals, proposal requirements, terms and conditions for acceptability and compliance with company policies and procedures. • Review, draft (from scratch or from a form template) and negotiate contracts, including master service agreements, clinical trial agreements, supply agreements, consulting agreements, maintenance and support agreements, vendor agreements, non-disclosure agreements, SOWs, amendments, change orders, NDAs and other agreements. • Coordinate with key stakeholders on contract terms, prioritization and execution. • Assure that contractual terms and provisions comply with corporate processes, guidelines, policies and applicable law • Develop and update internal contract templates and forms.

• Bachelor's Degree (Business Management, Law, and/or a related field preferred) • Strong academic record. • 1+ Year experience working in a Corporate Legal Department and/or in an organization supporting the Legal and/or Finance and Contracts functions. • Ability to identify, research, and resolve problems as well as follow through on assignments with minimum direction. • Experience developing templates and implementing processes within the contracts life-cycle. • Excellent customer service to both internal and external customers contacts. • Self-motivated with desire to work in a fast-paced environment. • Strong business acumen and judgment. • Outstanding interpersonal, written and oral communication skills. • Complex project management skills, including the ability to multi-task across high-volume projects, prioritize and manage timelines effectively in a responsive and professional manner. • Strong relationship management skills and experience. • Proficiency with Microsoft Office and database management.
