Description
We are offering an exciting opportunity for a Corporate Paralegal to join a growing wealth management firm in the Twin Cities, Minnesota. This position is permanent placement / direct hire, offers a hybrid remote/in-office schedule if local to the Twin Cities, MN, and provides great benefits!
In this role, you will play a crucial part in supporting the Chief Legal Officer, management team and Board of Directors, ensuring compliance with corporate governance standards and providing effective record management. Your responsibilities will include overseeing corporate records, facilitating Board and Committee activities, and ensuring adherence to regulatory requirements.
Responsibilities:
• Act as a primary point of communication between the Board of Directors and the executive management team, facilitating the dissemination of critical information and approvals.
• Oversee the preparation, distribution, and presentation of materials for Board and Committee meetings, ensuring agendas align with strategic priorities and regulatory requirements.
• Record accurate minutes of Board meetings while maintaining the confidentiality of all proceedings, and manage the dissemination and completion of information requests from the Board.
• Maintain and update corporate records, including minutes, resolutions, and filings, ensuring compliance with legal and regulatory standards.
• Oversee the maintenance of corporate ownership registries, including shareholdings and ownership transfers, and monitor the composition of the Board and its committees.
• Maintain updated lists of corporate officers, directors, governors, and authorized signers, ensuring that Board Committee charters are reviewed, updated, and compliant with relevant governance frameworks.
• Oversee the timely filing of required legal documents, including legal entity registrations, and stay informed of relevant laws and governance trends affecting corporate governance.
• Collaborate with internal teams to support Know Your Client (KYC) and other survey processes, ensuring the maintenance of accurate corporate ownership data.
Requirements
· Minimum of 2 years of Corporate Paralegal experience. Corporate Governance, Corporate Secretary experience preferred.
· Strong knowledge of corporate governance, legal, and regulatory requirements for financial institutions.
· Excellent organizational skills with attention to detail.
· Ability to maintain confidentiality and handle sensitive information with integrity.
· Proficiency with governance and record-keeping software tools.
· Superior verbal and written communication skills.
· Familiarity with financial services industry regulations preferred.
· Experience in supporting KYC, AML, or other compliance-related processes preferred.
