Description
Looking for an opportunity to move in house? Robert Half is looking for an Assistant General Counsel to join a growing corporation with day-to-day legal operations relating to SEC and NYSE compliance matters, securities filings, and M& A. This role is primarily remote, but will require monthly travel to the company's office located in Northern Virginia.
Responsibilities include:
Preparation of SEC filings (10-Ks, 10-Qs, 8-Ks and proxy statements)
Prepare all Section 16 filings
Advise on disclosure matters and stock exchange compliance, including press releases, earnings materials, investor presentations, and other external communications.
Proxy statement preparation
Lead and develop ESG related disclosures
Support M& A activities, including due diligence, negotiation and drafting transaction documents, regulatory filings with SEC, DOJ/FTC and foreign jurisdictions and post-merger integration and matter resolution.
Liaison with outside counsel
Assist on other legal matters as assigned
Requirements
Licensed to practice law in at least one state/jurisdiction
4-6 years experience in Securities Law
knowledge of SEC and NYSE compliance
M& A experience preferred
