POSITION TITLE: Paralegal
REPORTS TO: General Counsel
Location: Rockville, MD (hybrid- 1 day in office)
Overview: As a Legal Recruiter working closely with a reputable nonprofit organization based in Rockville, we are currently seeking a skilled Corporate Paralegal to join their legal team. This position offers a primarily remote work arrangement with an in-office requirement once a week. The position reports directly to the General Counsel.
Responsibilities:
Contract Drafting and Negotiation:
Collaborate with legal team members to draft, review, negotiate, and redline various contracts and agreements.
Ensure all contracts comply with legal requirements and organizational policies.
Assist in developing and maintaining standard contract templates.
Compliance:
Support the legal team in monitoring and ensuring organizational compliance with applicable laws and regulations.
Contribute to the development and implementation of compliance policies and procedures.
Conduct regular audits to ensure ongoing compliance.
Litigation Management:
Provide support in managing litigation and dispute resolution processes.
Coordinate with outside counsel and assist in managing discovery processes.
Maintain and organize litigation files and documents.
Employment Agreements and Investigations:
Assist in drafting and reviewing employment agreements and related documents.
Participate in conducting internal investigations related to employment matters.
Provide support in addressing employee-related legal issues.
Corporate Governance:
Contribute to the preparation and maintenance of corporate records and governance documents.
Support the organization of board meetings, including preparing agendas and minutes.
Ensure compliance with corporate governance policies and procedures.
Requirements
Qualifications:
Bachelor’s degree or Paralegal Certificate from an ABA-approved program.
Minimum of 3 years of experience as a Corporate Paralegal.
Experience in healthcare and/or non-profit sectors is preferred.
Strong understanding of contract law, compliance, and corporate governance.
Excellent drafting, negotiation, and redlining skills.
Strong organizational and project management skills.
Excellent written and verbal communication skills.
Proficiency in legal research and legal document management software.
Skills:
Detail-oriented with strong analytical skills.
Ability to work independently and collaboratively as part of a remote team.
Strong problem-solving skills and the ability to manage multiple tasks effectively.
High level of professionalism and confidentiality.
