Robert Half is partnering with a Corporation, and sourcing for an Associate General Counsel for a contract/contract-to-hire opportunity.
Job Summary:
The Associate General Counsel will play a pivotal role in supporting the legal department. Reporting directly to the General Counsel, the successful candidate will be responsible for providing comprehensive legal counsel and support to various departments within the organization. This role involves a broad range of responsibilities, including contract negotiation, risk management, regulatory compliance, and litigation oversight.
Key Responsibilities:
Legal Counsel: Provide legal guidance and support to internal departments on a wide array of legal matters, including but not limited to contracts, corporate governance, employment law, intellectual property, and regulatory compliance.
Contract Negotiation: Draft, review, and negotiate a variety of contracts, including vendor agreements, customer contracts, licensing agreements, and strategic partnerships.
Risk Management: Identify potential legal risks and provide proactive solutions to mitigate these risks, while ensuring compliance with applicable laws and regulations.
Litigation Management: Collaborate with external counsel when necessary and manage ongoing litigation matters, including litigation strategy, document collection, and court appearances.
Corporate Governance: Assist in maintaining the company's corporate governance structure and ensure compliance with corporate policies and procedures.
Regulatory Compliance: Stay abreast of relevant laws and regulations that impact the business and provide guidance on compliance matters.
Policy Development: Contribute to the development and implementation of company policies and procedures, ensuring alignment with legal requirements and best practices.
Training and Education: Provide legal training and education to employees and management to enhance legal awareness and compliance across the organization.
Requirements
Qualifications:
Juris Doctor (J.D.) degree from an accredited law school.
Active license to practice law in Missouri
5+ years of relevant legal experience, preferably including in-house counsel experience.
Strong knowledge of contract law, corporate governance, and regulatory compliance.
Excellent negotiation, drafting, and communication skills.
Ability to work independently and collaboratively in a fast-paced environment.
Exceptional analytical and problem-solving abilities.
High level of integrity and ethics.
