Description

Established semiconductor company in the San Francisco Bay Area has an immediate opening for a Corporate Counsel! This Corporate Counsel will join the legal department, reporting to the Chief Legal Officer, and focus on managing commercial transactions. The ideal candidate will have substantial experience in redlining and drafting various types of agreements, including NDAs and sales contracts. This role offers the opportunity to work remotely and collaborate with cross-functional teams to support the company's commercial activities. Responsibilities:

  • Draft, review, and negotiate a wide range of commercial agreements, including NDAs, sales contracts, licensing agreements, and service agreements.

  • Work closely with internal stakeholders, including sales, procurement, and business development teams, to understand business requirements and develop contract terms that align with company objectives.

  • Conduct thorough reviews of proposed contracts, identifying potential risks and proposing solutions to mitigate legal exposure.

  • Redline contracts effectively, ensuring that all terms are accurately reflected and consistent with company policies and legal requirements.

  • Collaborate with external parties, including customers, suppliers, and partners, to negotiate favorable contract terms and resolve any disputes or issues that arise during the contracting process.

  • Provide legal guidance and support on a variety of corporate matters, including compliance, intellectual property, and data privacy.

  • Stay informed about relevant laws and regulations impacting the semiconductor industry, advising the company on compliance requirements and best practices.

    Requirements

Qualifications:

  • Juris Doctor (JD) degree from an accredited law school.

  • Admission to practice law in at least one US jurisdiction.

  • Minimum of 5-10+ years of experience practicing law, with a focus on commercial contracts.

  • Demonstrated expertise in drafting, reviewing, and negotiating NDAs, sales contracts, and other commercial agreements.

  • Prior semiconductor industry experience is highly preferred but not required.

  • Strong understanding of contract law principles and the ability to apply them in a business context.

  • Excellent communication and interpersonal skills, with the ability to collaborate effectively with internal and external stakeholders.

  • Highly organized and detail-oriented, with the ability to manage multiple priorities and deadlines in a fast-paced environment.

  • Comfortable working independently in a remote setting, with the ability to effectively communicate and collaborate with virtual teams.
