Robert Half Corporate Paralegal in Seattle, Washington
Description
A mid-sized Seattle law firm is looking to add another Corporate Paralegal to their growing Transactional practice. The role involves assisting attorneys in drafting and reviewing legal documents, managing due diligence processes, and maintaining corporate records. This is a hybrid position that will work alongside other Paralegals and Attorneys in their practice group.
Responsibilities:
• Reviewing and assisting with the drafting of legal documents including contracts and resolutions
• Assisting with the review of title commitments, closings, and ancillary agreements in real estate transactions
• Coordinating and managing the due diligence process for mergers, acquisitions, and other corporate transactions
• Drafting and filing corporate documents with state and federal agencies
• Maintaining corporate records, including entity formation, board minutes, and stockholder records
• Coordinating and managing the closing processes for corporate transactions
• Assisting with corporate governance matters, such as preparing for board meetings and maintaining compliance with federal regulations
• Working directly and communicating effectively with clients, advisors, opposing counsel, and other parties involved in transactions

Requirements
5+ YOE as a Corporate or Transactional Paralegal at a law firm or corporate legal department
Experience with Real Estate transactional documents preferred
Experience with Corporate Governance matters
