Description

Boutique law firm based in Sacramento, CA has an immediate opening for a remote Contract Attorney! This Contract Attorney will join the firm on a project basis to assist with due diligence for an M& A transaction. In this role, you will be responsible for conducting comprehensive document review related to due diligence, ensuring legal and regulatory compliance and identifying potential risks. This position is 100% remote so candidates from around the US are encouraged to apply with a flexible part-time schedule. The ideal candidate will have 5+ years of document review experience in an attorney, law clerk, or paralegal capacity, including experience with due diligence review.

Responsibilities:

  • Conduct comprehensive document reviews for target companies involved in M& A transactions, focusing on contracts, agreements, financial records, corporate governance documents, and other relevant materials.

  • Analyze and assess the legal and regulatory compliance of reviewed documents, identifying potential risks and liabilities that may impact the transaction.

  • Collaborate closely with legal counsel, financial advisors, and other stakeholders to ensure timely completion of due diligence reviews and support the overall transaction process.

  • Prepare detailed due diligence reports summarizing key findings, risks, and recommendations for mitigating identified issues.

  • Stay informed about changes in laws, regulations, and industry standards related to M& A transactions and due diligence practices, incorporating relevant updates into document review procedures.

    Requirements

Qualifications:

  • Minimum 5+ years of experience with document review in an attorney, law clerk, or paralegal capacity.

  • Must have experience with document review related to due diligence for M& A transactions.

  • Demonstrated expertise in conducting thorough document reviews, with a strong attention to detail and accuracy.

  • Excellent analytical and problem-solving skills, with the ability to identify and assess legal risks within complex document sets.

  • Effective communication and collaboration skills, with the ability to work closely with cross-functional teams and interact professionally with clients and stakeholders.

  • Proficiency in legal research and document review tools/software, including e-discovery platforms and document management systems such as NetDocs
